Terms of Service

1. Acceptance

By accessing or using VendorIntel (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are accepting on behalf of a company, you represent that you have authority to bind that company.

2. The Service

VendorIntel provides vendor-relationship-management and vendor-intelligence tools for franchise networks. The Service includes both a Sandbox environment (containing sample data for exploration) and a Live environment (containing your organization's real data). Features and pricing may change; we will provide reasonable notice of material changes to paid subscriptions.

3. Accounts

• You must be at least 18 years old and, if signing up on behalf of a company, authorized to bind that company to these Terms.
• You are responsible for the activity that occurs under your account.
• Keep your password confidential. You may invite team members, but each user must have their own login credentials.
• Tell us promptly at security@vendorintel.ai if you suspect unauthorized use.

4. Acceptable use

You agree not to:

• Use the Service to violate any law or third-party right.
• Reverse-engineer, scrape, or attempt to extract source code or data not intended for you.
• Probe, scan, or test the Service's vulnerabilities without our written permission.
• Upload malware, send spam, or interfere with other users.
• Resell or sublicense the Service without a written agreement with us.

5. Your data

You retain ownership of data you submit to the Service ("Customer Data"). You grant us a worldwide, non-exclusive license to host, process, and display Customer Data solely to operate the Service for you. We will not access or disclose Customer Data except (a) at your direction, (b) as required by law, or (c) to protect the Service or its users.

6. Fees & billing

6.1 Free trial

New customers may be eligible for a 14-day free trial. A valid payment method is required at signup, but you will not be charged during the trial. If you do not cancel before the trial ends, we will automatically charge your payment method for the applicable subscription fee and your subscription will begin.

6.2 Subscription fees

Current subscription fees are listed on our pricing page. Fees are stated in USD and are exclusive of applicable taxes. Payments are processed by Stripe, Inc. By subscribing, you authorize us to charge your payment method for all applicable fees on each renewal date until you cancel.

6.3 Automatic renewal

Subscriptions renew automatically at the end of each billing period (monthly by default) at the then-current rate for your plan.

6.4 Per-location pricing (Scale plan)

If you subscribe to the Scale plan, you will be billed based on the number of locations declared at signup and adjusted as needed thereafter. You are responsible for accurately reporting your location count.

6.5 Cancellation & refunds

You may cancel your subscription at any time via the Stripe Customer Portal accessible from your account settings, or by emailing hello@vendorintel.ai. Cancellation takes effect at the end of your current billing period; you will retain access through that date. Except where required by law, all fees paid are non-refundable, and we do not provide credits for partial billing periods, downgrades, or unused portions of your subscription.

6.6 Price changes

We may change subscription fees from time to time. We will provide at least thirty (30) days' notice of any price increase, delivered by email. If you do not agree to the price change, you may cancel before it takes effect.

6.7 Failed payments

If your payment fails, we may retry the charge and/or suspend your access until payment is successfully collected. Persistent payment failure may result in cancellation of your subscription.

7. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data will not be lost. We do not warrant that any AI-assisted recommendations, insights, or outputs generated by the Service will be accurate, complete, or reliable — you are solely responsible for decisions made based on such outputs. Keep your own backups of important data.

8. Limitation of liability

To the maximum extent permitted by law, VendorIntel's aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim or (b) USD $100. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.

9. Intellectual property

VendorIntel, the VendorIntel logo, VRM, VIQ, and VIP marks are trademarks of VendorIntel. All Service software, designs, and content (other than Customer Data) are owned by VendorIntel or its licensors.

10. Termination

Either party may terminate at any time. We may suspend or terminate your access immediately if you breach these Terms or create risk for the Service or its users. Upon termination, your right to use the Service ends; sections 5–9 and 11–13 survive.

11. Changes to the Service or Terms

We may modify the Service or these Terms. Material changes to these Terms will be announced by email or in-app notice. Continued use after the Effective Date constitutes acceptance.

12. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, and each party submits to that exclusive jurisdiction.
